Minnesota charges a minimum fee for LLCs, S-corps, and partnerships based on property, payroll, or sales—not just income. You might owe it even if you didn’t turn a profit.

3. Payroll’s no joke here

If you have employees, you’ll need to file withholding tax and unemployment insurance returns quarterly. There are also new job posting laws and earned sick and safe time rules starting in 2025.

4. Nonresidents? There’s a tax for that

If you have business partners or owners who live outside Minnesota, you may need to withhold state income tax on their behalf even if they don’t set foot here.
